HSF Advises Joint Lead Managers on ANZ’s A$1.5 billion Capital Notes 6 Offer
Herbert Smith Freehills has advised the Joint Lead Managers of Australia and New Zealand Banking Group Limited’s (ANZ) offer of ANZ Capital Notes 6 (Notes). The offer also involved a reinvestment offer under which holders of ANZ Capital Notes 1 were able to apply to sell some or all of their ANZ Capital Notes 1 and reinvest the proceeds in the Notes or receive cash.
The Notes are fully paid, convertible, perpetual, unsecured, subordinated notes issued by ANZ. The Notes will constitute Additional Tier 1 Capital under APRA standards. The proceeds from the issue will be used to refinance the ANZ Capital Notes 1 and for general corporate purposes.

The placement, together with a newly launched share purchase plan (SPP) capped at $15 million, will provide Andromeda with funds to meet the company’s share of long lead time processing plant equipment purchases for the Great White Kaolin Project JV with Minotaur Exploration Ltd (ASX:MEP).
Prior to Morgans, Purcell was Macquarie’s office head in South Australia where he was responsible for over 100 employees.
Brocklehurst had over 20 years’ experience and joined from NAB Australia where she was previously a senior private client manager.
McBride joined from ANZ Banking Group where he was a private banker, responsible for managing a portfolio of high net worth (HNW) families.
Hamersley joined from Westpac Private Bank SA where he was associate director for the SA Global Investment Service and had over 20 years’ industry experience with HNW clients.
Taylor joined from Westpac Premier where she was a lending area manager and had almost 20 years’ experience.
