A Tough Takeover
No merger is without casualties. James Hay’s proposed acquisition of Nucleus is no different.
Documents published yesterday confirms that job cuts could be in the works once the pair come together. As ever, it’s not put in as blunt terms as that; corporate papers enjoy couching it as plans to “address issues of duplication” and look at where “operational efficiencies might be achieved”, for example.

Job cuts could be made across James Hay and Nucleus when the two platforms come together as a combined group.
While talent will be “harnessed” from both firms, the group will “address issues of duplication” of roles to “maximise efficiency”, according to takeover documents released today.
Nucleus chairman Angus Samuels said the company’s board would “naturally regret” any job losses affecting Nucleus’ existing employees.
But he stressed if the axe does fall it would “encompass all employees of the combined group”, once James Hay completes its acquisition of Nucleus.
James Hay was due to publish the offer document for its proposed takeover of Nucleus on 9 April, but pushed this timetable back after the £145m deal was switched from a ‘scheme of arrangement’ transaction to a formal takeover offer.

We spotted one recently where a former Novia employee has been ordered to pay £6,540 to cover legal costs incurred by the platform after an employment tribunal threw out claims of unfair dismissal.
Sarah Fisher, former implementation executive at Novia Financial, was criticised by an employment judge for failing to engage with the process. A further disability discrimination claim was also struck out.
