SPAC Flop Is Test Case for Disgruntled Investor Lawsuits

Since the start of 2019, 13 SPAC-related shareholder lawsuits have been filed.
Bloomberg | Feb 16, 2021
(Bloomberg) Waitr Inc. never had the resources of rivals Grubhub Inc. and UberEats. Yet in November 2018 the online food ordering and delivery business went public through a merger with blank-check firm Landcadia Holdings Inc.
Landcadia had some powerful names behind it. Tilman Fertitta, a billionaire restaurateur, and Richard Handler, the chief executive officer of Jefferies Financial Group Inc., had raised $250 million in backing for Landcadia so that the special purpose acquisition company, or SPAC, could find and take public a promising startup like Waitr.
But Waitr turned out to be a disappointment. Its shares plummeted as it lost about 96% of its market value in 2019, down from a high of almost $1 billion. That triggered a class-action lawsuit claiming that Fertitta and Handler misled shareholders about the risks of Waitr’s business plan ....

I now feel a total sense of hopelessness and despair (“Net zero action: Cabinet shuns climate laws”, February 10). All sense of urgency to ensure the safety of future generations and biodiversity on this planet is being completely ignored and used as
a political plaything. What can we possibly do, as citizens of this country, to convey this utter despair to our supposed leaders? Anything?
Judy Hungerford, North Curl Curl
Just about every institution – including state governments, business, unions and farming groups – want net zero emissions by 2050 to be legislated. But the Coalition federal government still demurs. Scott Morrison is fearful that the same fate is in store for him that was meted out to Turnbull. ....

One couldn’t ask for a better person for the Australian of the Year gong than well-deserving Grace Tame, the first Tasmanian to receive one (“Change the date, says Grace”, January 26). She is not going to muck around. In the little time she’s been in the public eye, Tame has already said what most of us feel — change the Australia Day date. I can’t wait to hear her views in the days ahead. Congratulations, Grace.

Delighted to see such an eclectic mix of women who have taken out the top Australia Day honours this year. These women are true embodiment of the saying of Australia’s Patron Saint Mary MacKillop — “never see a need without doing something about it”. ....

When I was a kid, it was standard fare on January 26 for a boatload of men in old-fashioned military uniforms to row a boat ashore at Farm Cove. They’d disembark and chase a bunch of Indigenous natives carrying spears. They were all actors re-enacting the landing of the first Europeans. It is my understanding that the last time that this occurred was January 26, 1988. I reckon that if you can’t celebrate the events for which the day is named, then it’s time to change the date. - ....

Why won t the PM condemn the absurd assertions of Craig Kelly MP and others about coronavirus remedies, as the Chief Medical Officer has done ( MP s COVID-19 posts get medical rebuke , January 14)? It s as former PM John Howard said about one of his opponents: he doesn t have the ticker .
Joe Goozeff, Leura
I d love to see Kelly and George Christensen dispatched on an overseas Parliamentary fact-finding mission to the UK or USA. There, they could check hospitals to confirm that the vast numbers being treated for COVID are real, and not a hoax . They could also inspect the refrigeration trucks that are being used as temporary morgues. They could travel without masks and vaccines, using hydroxychloroquine and ivermectin to protect themselves. ....
