The 2021 National Defense Authorization Act (the NDAA) was enacted into law over a presidential veto on 1 January 2021. A portion of the NDAA, the Corporate Transparency Act (the Act), imposes new beneficial ownership reporting requirements on certain businesses formed or registered to do business in the United States. While many of the details concerning the implementation of the Act are not yet known, the Act brings the United States closer in alignment with global peers on anti-money laundering (AML) regulations and should enhance the ability of United States law enforcement to combat money laundering, the financing of terrorism and other financial crimes. It also projects to significantly affect the way U.S. businesses approach formation matters and early-stage financing. ....
