TalkTalk agrees £1.1bn takeover by Toscafund and Penta

Telecoms firm TalkTalk has said it has agreed a £1.1 billion takeover by investment company Toscafund and private equity firm Penta.
It comes more than two months after the broadband provider first said it was in talks over the sale.
TalkTalk said the offer, of 97p per share, represents a 16.4% premium on its closing price on October 7, shortly before the parties started talks over the deal.
Toscafund, which was already TalkTalk’s second largest investor, and Penta hailed the company’s “resilient” trading performance in 2020 despite disruption from the pandemic.
Sir Charles Dunstone, TalkTalk’s chairman, said: “Being a private company would allow us to accelerate adoption and focus on our role as the affordable provider of fibre for businesses and consumers nationwide. ....

TalkTalk has agreed to a £1.1bn takeover from Toscafund, its second-largest existing shareholder after company founder Sir Charles Dunstone and private equity fund Penta Capital.
The terms of the deal are unchanged from the original bid, valuing each share at 97p. This represents a 16.4 per cent premium on the pre-offer closing price of 83.3p in October, but still a slight discount on the 52-week high of 124.84p.
Shareholders unwilling to take the cash buyout will be able to exchange their stake for shares in the acquired company, which will not be listed on any exchanges. ....

TalkTalk Telecom Group PLC said Thursday that it swung to a pretax loss for the first half of fiscal 2021 as revenue was hit by the coronavirus pandemic and that Chief Financial Officer Kate Ferry will step down.
Pretax loss for the six months to Sept. 30 was 3 million pounds ($4.1 million) compared with a profit of GBP1 million for the same period last year, the U.K. telecommunications group said.
Headline earnings before interest, taxes, depreciation and amortization the company s preferred profit metric fell to GBP122 million for the first half from GBP140 million a year earlier. ....
