Galaxy/Orocobre Merger to Create Top 5 Lithium Company

Lithium companies have been active in M&A lately, and more may follow after the proposed deal between Galaxy Resources and Orocobre.
Australia’s Orocobre (TSX:ORL,ASX:ORE) and Galaxy Resources (ASX:GXY,OTC Pink:GALXF) agreed this week to join forces in a AU$4 billion “merger of equals.” The deal comes as demand for lithium for electric vehicle (EV) batteries continues to pick up pace.
Once the merger is complete, the new company will become a top five lithium chemicals company globally and top three outside of China with production capacity of around 40,000 tonnes of lithium carbonate equivalent per year. ....

(Reuters) - Australian lithium miner Orocobre Ltd said on Monday it would buy rival Galaxy Resources to form the world’s fifth-largest lithium chemicals company valued at A$4 billion ($3.09 billion).
The deal comes at a time of increasing industry consolidation in the wake of soaring prices for the raw material used in electric vehicle (EV) batteries.
“The merged entity’s growth opportunities in both brine and hard rock position it uniquely to take advantage of expected rising EV demand for lithium,” Galaxy Chairman Martin Rowley said.
Orocobre and Galaxy, which operate the Olaroz and Sal de Vida lithium projects in Argentina respectively, are also eyeing a consolidation of their assets in the country. ....

Orocobre (TSX: ORL) and Galaxy Resources Limited have announced entry into a binding Merger Implementation Deed (MID) where the two companies will merge in a Galaxy Scheme of Arrangement (Scheme) where Orocobre will acquire 100% of the shares in Galaxy. Shareholders of Galaxy will receive 0.569 Orocobre shares for each Galaxy share held at the record date of the Galaxy Scheme of Arrangement. At the execution of the Scheme, Orocobre shareholders will own 54.2% of the fully diluted share capital of the combined entity and Galaxy shareholders will own the remaining 45.8%.
The board of both companies have unanimously recommended the Scheme and plan to vote all the shares they hold in favour of the Scheme. Martin Rowley shall become Non-Executive Chairman as Robert Hubbard would become Deputy Chairman, as Martin Perez de Solay will remain CEO and Managing Director of the group. ....
