>> it is really interesting to see. i can't put out on it one way or the other. the justice department does make some argument that consumer advocates are making before this deal have been. i don't think the comments the president has made will be helpful to the justice department because at&t will use those in its defense. it held a press conference where top about how i would fight this deal at a conference room off of cnn newsroom yesterday. the messages being sent. >> the comcast time warner deal got blocked after the comcast-nbc deal. it is going to be worked against at&t in this deal going forward. >> comcast acquisition back in 2010 or 2011 is the bogeyman in this case. the justice department put behavioral remedies in place that said comcast can't use its new leverage to stifle innovation for online starts. that's a really difficult thing to try. maria: the market has changed so much. it's not the marketer was 10 years ago when you look at the players out there today. >> they want to put together a different type of competitor to facebook, amazon, google, tech companies seeking attention for hours upon hours. >> if you are free market person and look at the justice department can watch by the way a shocking inhabiting under republican presidency we should point out maybe we should expect this from a more liberal president. when it comes to creative content, so many creative people out there you could say hbo is a gold standard anymore. you have all these other content providers. even netflix and amazon are creating their own content. why put such restriction on at&t and they could start their own content companies. maria: look how much money netflix's spending. >> how about apple. apple could start pouring monday into content and programming if they felt like it. >> they have been. they're rushing the hollywood. amazon has had a lot of success. the whole industry isn't as dramatic changing. the tech companies are creating new content. some person who has a really funny instagram accra because young people are spending the vast majority of their time scrolling through fees on instagram or snapchat. >> my kids watch youtube as a media source. that's where they go. >> it is really, really surprising that this is a republican argument that they are making. vertical mergers, which they say is our historic rate not challenged by the government. the new antitrust chief outlined in his speech a whole new way of thinking about antitrust deals for historically what the justice department regulators have done is say there are potential harms of this consolidation, so let's put these behavioral remedies in place. >> is this a buying supply? it's a matter of time for amazon or facebook buys right. in the 90s that made those companies from the distributor buying supply. i don't understand how this is different in this case. >> what they are saying is you can use that supply as a consul against her writers. direct tv competes with comcast in spectrum in every other company out there. if you raise the price, and they either to raise their prices to consumers or a blackout at which point directv could come in and say such a direct tv. what do you do in your wireless service. >> does it go through if they give us a minute directv? >> divest directv for turner which is the cable channels. that's a nonstarter for at&t. that's kind of the whole point. dagen: can i raise the issue that netflix or amazon that might not want this to happen, do they just have better lobbyists than at&t does? zeldon, good to see you, thank you so much for joining us. >> great to see you, thank you, maria. maria: seems like a vertical merger that you've got content and distribution, what's the problem from the department of justice's standpoint? >> well, i mean, there are people who work at the department of justice and they know the lows, they state all the case law and i would say that there might be a whole lot more smarter than i am on this, from my vantage point, i don't know if they have a strong enough case to succeed here. it seems like it's an okay merger as far as the laws go, statute case law but maybe the department of justice has seen a whole lot of stuff that i'm not seeing. maria: time warner based in new york. do you expect layoffs if the two companies get together in some of your districts or close to your districts, new york? >> i would say that whenever you have a merger like this you are going to find efficiencies, there will be some less of a need to have as big of an operation on certain aspects. i think that happens every time we see one of the mergers, so that's certainly a possibility but i would expect that every time you're going to see a merger this big. maria: lee, we want to talk about the tax bill, you were no on the house's tax bill obviously they passed it regardless but you and your colleague congressman peter king basically felt that the state and local tax deduction being eliminated is going to send your constituents taxes higher, correct? >> yes, ma'am. and i was -- there were 13 of us who voted no, some of us might have voted no for different reasons, there were some people who voted yes who were voting yes with the understanding that certain aspects of this bill were going to be improved, i would love to be able to vote for a final bill coming out of conference committee but we have to to make more progress and i have middle-income constituents struggling to make ends meet. half of my district itemizes and a district in 39.6% bracket and with pass-through rules maybe for some of them largest itemization will be state and local taxes, mortgage interest deduction going to a half million, losing the medical expense deduction, when you crunch all of the numbers, you have some people in the 39.6 bracket who are going to be paying more as well. so for me as a new york congressman representing a new york congressional district, i'm going to fight for the improvements. it was progress on the house side that they have a 10,000 property tax deduction cap as it relates to salt, i would love to see more progress, there are good aspects in the house bill, good aspects in the senate bill, i would love to work with your next guest mr. mulvaney, my former colleague on making improvements whether colleagues in congress or colleagues in the white house. maria: yeah. >> if we can improve the bill, that would be great. maria: we are going to talk about that right now because mitch roschelle has data in terms of what the behavior is when you see taxes like that. what's the number? some constitutes in your state are going to see taxes -- that's 40% and add state and local of 17%, as high as 57% of taxes, why do that if you can go to florida and just not pay anything, right? >> that's right. people are becoming more mobile, so i was in the state senate watching what was happening in terms of the policies in albany, they add state income tax and have rate second highest to only california. some of my democratic colleagues in the state legislature would say taxes have no effect on behavior, that's not true. we see people are moving, show me proof, they wouldn't believe it. they'll say it's patriotic to pay taxes which means i would say new york has one of the most patriotic states in the entire country with the size of our tax rate. so it does have a effect on behavior. people. >> more mobile and has -- maria: patriotic, mitch, i'm patriotic and i will still move. >> i'm looking at numbers, new york city loses 18,000, almost 19,000, long island where your congressional district loses close to 5, dallas is gaining almost 90,000 people, austin, 42,000, houston not with withstanding what is going down there, 90,000 people. if you look at california the same thing is happening, beneficiaries are in florida and texas, it seems to be a structural issue and the state and local tax deduction is obviously part of that, if you take that away, what does that end up doing for the high-taxed states. >> you have more people who are reaching their breaking point and i understand that the reason why we have such a high state and local tax deduction because state and local taxes are so high, so while the federal government is talking about tax relief, t important for albany and new york city and all other state capitals across the country specially those in high-taxed states to pursue tax relief. there are some good things all across the entire country on the corporate side, on the personal side, i view it as kind of a geographic redistribution of wealth. taking more money from the state like new york to pay for higher taxes elsewhere. some people are saying they are subsidizing new york, when you look at overall tax policy, new york is a net contributor all across board and we are sending more to washington and paying back. reaching a breaking point isn't just that wealthy top bracket mobile individual and family, it's also a hard-working middle-income constituent, if you're making -- if your household is making $150,000 in long island, that's not the same in the south because of cost of living. we are losing the population as well. >> the angst of the american people is republicans promised repeal and replace on the first day, you guys are over this year, are you guys are going to be able to get anything accomplished this year to actually help the american people because all of your promises so far have not come to anything? >> well, i will say a few things on that, one is the president -- a lot of people, if you ask them how many bills has the president signed into law, a lot of american who is may just say zero, other than executive orders he hasn't signed any bills, he has signed almost 100 different bills, substantive bills that have been passed all throughout the year, the house has passed hundreds of bills this year, the senate unfortunately has passed a dozen of them. we passed funding for bother, a tax bill -- maria: you didn't vote for it. >> on the senate side, it's been a frustrating year and, you know, that's the big issue. some of these bigger-ticket items, health care, the border funding and now taxes, the senate hasn't passed that stuff yet but hopefully with the few weeks that are left in the year they are able to get something big across the finish line. i would love that. dagen: congressman, really quickly, senator susan collins is coming up with the idea don't lower corporate tax rate to 20% take it to 22 and keep state and local tax deduction with the individuals, is that something that you would get on board with? >> potentially, i do know that for the president that hitting 20% corporate tax rate is very important to him, i would love to see at 15. if we are going to 22, i know from my conversations with people advocating for a 20% corporate tax rate that where they are currently at 35 they would be thrilled to end up at 22. the only thing that i would add not to throw cold water at senator collins' argument restoring state and local tax deduction, well, i do know -- that doesn't come up with enough money. you're talking $100 billion for point. try to go from 20 to 22, you come up with $200 billion but you're trying to save a deduction that is scored at little over a trillion dollars for ten years. maria: right. >> so it helps but i don't think it's enough. maria: what -- where do you get that kind of revenue $1.3 trillion which is what you're getting if you eliminate the deduction? how about the family credit which is $650 billion, 650 billion which there's an op-ed in the journal about, you know, why are mothers of dogs not as important as mothers of children, i'm sorry, but, you know? >> well, the first thing that comes to mind is that i really feel like we should be moving forward in the spending debate. i don't understand why -- when you're reducing taxes at the same time we can't be making substantial progress in cutting spending as well to come up with this money. maria: yeah. >> if for whatever reason that's off the table and we can't talk about efficiencies in the federal government over ten years, that gives you with the idea like senator collins which helps bring businesses back and jobs from overseas and helps american businesses grow. there are some americans out there who are watching the show who are absolutely thrill today see -- thrilled to see the death tax repealed for them. i have farm districts, but there might be some money that you could save there. again, i love for us to be talking for us to save money on spending. maria: congressman, great to see you, happy thanksgiving. >> thank you. maria: stay
