Note: the CRA has previously taken the position that a “meeting” means an in-person meeting (therefore a telephone call would not suffice). To date, the CRA has not announced any changes to this interpretation in light of COVID-19, particularly whether videoconference calls would be considered “meetings”, but it is anticipated some clarification will be provided prior to the filing deadline for 2020 income tax returns.

The prior guidance did not mandate specific climate disclosures, but instead focused on how climate-change issues might affect existing disclosure obligations regarding, for example, material legal compliance or litigation issues, material risks, and the effect of known trends, developments or a company’s operational environment. The move is part of the Biden Administration’s increased focus on climate issues and follows the SEC’s appointment earlier this month of Satyam Khanna as Senior Policy Advisor for Climate and ESG in Acting Chair Lee’s office.
