Termination of a Material Definitive Agreement. In connection with the closing of the Merger, on the Closing Date, RigNet terminated all outstanding commitments under that certain Third Amended and Restated Credit Agreement, dated as of November 6, 2017, among RigNet, as borrower, certain of RigNet s subsidiaries party thereto as guarantors, Bank of America, N.A., as administrative agent, swingline lender and L/C issuer, BBVA Compass, as syndication agent, the lenders party thereto and Merrill Lynch, Pierce, Fenner & Smith Incorporated as sole lead arranger and sole bookrunner (as amended, the Credit Agreement ). In connection with the termination of the Credit Agreement, on the Closing Date, all outstanding obligations under the Credit Agreement were paid off in full, and all liens securing such obligations and guarantees of such obligations were released.
