The Issuer has established its social bond framework (the Social Bond Framework ) and has received a Second Party Opinion to confirm the alignment of the Social Bond Framework with the ICMA Social Bond Principles. The purpose of the Supplement is to update the terms of the Programme Memorandum to facilitate the issue of social bonds.

Capitalised terms used but not defined herein have the meaning given to them in the Trust Deed dated 14 November 2016 and made between the Issuer and Truva Services Limited (the Trustee ) (as amended from time to time) (the Trust Deed ) or, as applicable, the Facility Agreement dated 20 July 2017 and made between the Issuer and Myclubbetting.com Limited (the Borrower ) ( Facility Agreement ). We refer to Clause 5 of the Facility Agreement, pursuant to which, the Borrower shall pay interest semi-annually in arrears on 18 February and 18 August each year at the rate of 8.25% per annum. The Borrower has failed to make the interest payments due on 18 February 2019, 18 August 2019, 18 February 2020 and 18 August 2020, and is therefore in breach of its obligations in that clause.
