Total microco. Of whats gone right for stocks of the the whole bountiful year. Sure the averages werent that much to write home about. S p declines 0. 4 , nasdaq climbing. But the action underneath, im calling it fabulous. House of pleasure. Lets start with the obvious. June was supposed to be a horrible month, but the dow is up, s p up 2 , nasdaq an astounding 4 gain. If you sold ahead of june, you missioned an excellent month whats really incounter ebl about this performance, though, particularly in the nasdaq, it was supposed to be the markets achilles heel, an overvalued ed fills that people expected to pull the whole market down in a giant 200style swoon. Yeah, what really happened is the nasdaqs most overvalued stocks corrected before the month began, and then rallied like mad through all of june dalles what no different. Big winners, a lot of heavily shorted names, stocks like tesla, fire eye, the cybersecurity firm, sailsforce. Com and workday, along with 3d systems, and the two 3d printing standouts. They were slarmd mercilessly at the beginning the quarter. Not only did they fail to bring the whole market down, amazingly they became the leaders again. Todays microcosm extended farther further, to listen up bears, hedge funds. First we had or obligatory monday morning takeover. Buying comembers, a mexican paint maker. This should come ago no surprise at all to regular viewers. One of whir bankable executives told us on air, mad money, that it was going to putting ppgs cash hoard to good use. The deal broke down over antitrust concerns, ppg expects no such problems with this acquisition, which brings along 3600 stores in laden america, immediately boosting the paint business from 5 to 11 of total sales. The reaction is whats extraordinary a 6. 10 rally, almost 3 , for the stock of the acquirer. Again, people, something we have seen repeatedly in 2014. I cannot tell you how stunning it is to keep seeing the stock of the acquirer going up in a deal. You know whats really incredible here . There was nothing surprising in this deal. It was predicted by everyone who knows ppg, including by me several times, including in my last interview with chuck. But when it happens, its like its shocking, and it rallies big. Bingo it also caught a threepoint jump in treehouse in response to the purchase of flagstone foods, a irk ma of natural snacks. While treehouse subsequently gave up that. The acquisition another one of my favorites, hain celestial flying 3 , as that space remains redhot. After the disappointing quarters that were getting from general mills, you see that last week . I saw it all over in budapest theyve got to say, man, how can we not buy hain . Of course, this treehouse deal confirms yet again tremendous consolidation of the supermarket aisles, and another thing that karktized 2014, hillshire brands. What else has consistently made you money . One word activism. Today we found out that nelson pellets has taken a big stake in bank of new york mellon. In my study of activist investors, i was astounded to learn that peltsds is the only activist where, if you bought after his purchases were announced, you still consistently beat the s p 500. No wonder the stock roared 3. 25 . If this is anything like when pelts took a big stake in legg mason, then you have to buy bank of new york mellon tomorrow. Its not too late. Its early. Spinoffs caused by act investment continue to make sudden moan. Under pressure, from a smart hedge funds, terrific work, splitting into bake steel maker timpkon steel, one share of for every two shares that you own after the close tonight, and im speaking to the ceo later tonight. Suffice it to say its rallied into the breakup. Today was no different. History, be the judge, both go higher. How but upgrades . Two stocks that have been redhot. Micron, m. U. , i mean, cmon, enough already. You think people would just, you know yawn. No, not in this mark. Barclays went from hold to buy, because it hasnt kept paid, yet people bowed into it. A year ago this thing was at 14. Now a nickel away from 33. No matter. Upgrade from credit suite, launches it another 4 to 5 . Youve got to wongdser, how did that be . It doesnt matter. The upgrade worked, even though the Research Report contained nothing refusal la torrie. I looked at it. I cant tell you how many times different Money Managers have scolded me all the way for liking it. But i do like it, and i think its going higher. Estimating gross and supply fails to keep up. Then theres the exciting ipo syndrome. Theres always they things that excite people. There have been people who like a product so much when a Company Becomes public, theyve got to own the stock. This time it is go pro, which came public last thursday, continuing to plow higher. Rallied another 13 today. It joins amazon, solar city and tesla. I cant possibly make an Investment Case for it, but that wont keep it from going higher, thats for sure. Finally, we have what i call the new drug love story. No, mankind also rallying, and then theres it theres the amazing gw pharma. A push by piper jahvid ray might be able to use the epilepsy drug formulation to ultimately treat migraines and some form of autism. U. S. Drug companies cant compete, because in this country owning mass quantities of marijuana is a felony. But gw is based in britain, and the fda is working with them, according to piper, to get this drugs into the hands of the desperately needed. British business, gw pharma cooks a takeover target of an American Company looking to take advantage of the uks lower tax rate. Heres the bottom line. The last day of the Second Quarter was a microcosm of 2014, lots of ways to win. Somehow despite the odds, i think the Third Quarter may not be all that much different. Lets go to tim in new york. Caller hey, jim, booyah, how is it going . Not bad. How about you . Caller very well. Irdm. No, man, no, thats nogo. Lots of ways to win in this market. Im here to reveal them to you. Want to hear good news . I dont think well be all that different from the first half. Mad money tonight, fast food player sonic is up over the past year. Can it keep gaining in a Natural Organic world . And if you get sticker shock from the inflated prices last time you popped into the plus a soon to trade steelmate could strengthen your cash flow. Stick with cramer. F provokes lust. It elicits pride. Incites envy. And unleashes wrath. Temptation comes in many heartpounding forms. But only one letter. F. The performance marque from lexus. At cognizant, we help forwardlooking Companies Run better and run different to give your customers every reason to keep looking for you. So if youre ready to see opportunities and see them through, we say lets get to work. Because the future belongs to those who challenge the present. Oh, i get it. Its now inflation were supposed to be worrying about, thats the concern. Inflation fears are whats making the fed look downright comical. Beef, checking airfares, homes, and lets throw in limes and avocados while were at it. The scare amongest would have you believe all of this is obvious that inflation is raging. Im not as worried as the other guys. Its labor cost inflation. Were hardly seeing any of that. Theyre a giving, and heck, its almost possible, have you noticed . I talked to any of people that the phi confident that unless under to be they lower rung of a Service Industry or work in the cold in north dakota for oil, you cant make a call, you cant place people. You cant even get a call back to help someone. Its like that everywhere. I think its premature to start hyper ventilating. Has req, made it virtually impossible. The only exception, you offer the highest quality most differentiated merchandise. It has made many of these downright impossible to pass on to you. They have no pricing power, our in the frozen and less than food aisles, big acquisitions are occurring, no pricing. Some supermarkets have been able to take share without damage, but for other likes whole foods, different story, had to keep prices low. We know the restaurants are having a tough time passing on commodity costs, with the exception of tiny price increases. Yes, if you buy chicken or beef, youve been hit with higher costs. People will trade down in order to avoid the most inflated areas at least until remember it was only a few years ago the corn, the back did not appoint went through the roof. We heard about that constantly, but then the weather improved, ethanol out of time. Very next season. I think the same thing will happen to his other commodities. Lime peaked all right. Same with coffee. Demand slowed but in a few areas. In short im just not going to fret about either food or housing inflation, because i expect both to trend down. What about the other areas where inflation it i think were stuck with higher airfares. How about oil and gas . This is all about global strife, like the instability in libya, the calamitous disintegration of iraq, so the bottom line, given the fact the worst kind of Wage Inflation is nonexistent, while housing inflation already peaked, and most food let me ask you a question, why scotch at fed chief janet yellen when she claim the big stuff, like wages under control. I think theyre yellen cant slash airfares, cant stop isis from destabilizing iraq. I think noisy is a pretty darn good way to put it. Jennifer in ohio, jennifer . Caller hi, jim. Hey, jen. Caller i bought some boeing stock at the beginning of the year. Im down 10 . In the news today, they talked about a large order for south korea, and im calling to ask what you think, do i hold on . A lot of people are freaking out, well behind the market, people are saying, whats the deal . Eric cantor was in favor of the xm, backed the guy that replaced him and congress is not. If they dont get the xm bank d. The low interest rates, its already in the stock. If xm survives, boeing goes right to 135 with the big air show coming up. Buy boeing. Should we really by worried about inflation . Big stuff is under control. The rest, noisy is the word. Theres more mad money ahead, sonic sieving of burgers and sakes. The moment when the restaurant businesses become really hit or miss within the u. S. , especially the quickserve category, theres one category reporting fabulous results. Sonic, the fourth largest chain, number one drivein chain, over 3500 locations in 43 states. After languishing for years in the wake of the great recession, they got pounded by mcdonalds and its only internal execution issues, but its clearly found its fitting. More than triple, 22 bucks. Shares rising. Sonic is once again a regional growth story, terrific retro, future driving concept, even though 3500 locations, most are concentrated in the south and southeast, so sonic has a ton of room to expand. Because they rely heavily on friping, its easy to grow without spending a lot of money. They delivered a 30 cent of earnings, a one cent beat. More Important Companies systemwide samestore sales increased. Restaurant 4re68 margins up 40 basis points. Meanwhile, sonic has been rolling out a new point of sale systems, with a new interactive menu screens that adds targeted messages. The new screens are now in half of the driveins, they expect the rollout to be finished by the quarter. Yet even though the company delivered topnotch results last week, the stock is down since it reported. Could this be a terrific entry point . Lets check with the chairman and ceo of sonic. Mr. Hudson, great to have on you mad money. Great to been with you. I appreciate the opportunities. Burger king up 2, wendys up, sonic up 5. 3 . How do you put up that performance versus the other guys . Well, several years ago mcdonalds had the momentum and were sucking the air out of the room for everyone else. But that has slowed. We have a good head of steam in a variety of ways. Through the recession, we shifted what we were hearing from our consumers, and the degree to which we were getting that, we shifted the value strategy, stepped up the quality of our food. Then we really got rebuilt our marketing team, got our Product Pipeline moving, hired new creative folks outside and new media buyers. The consequence of these things really 12, 13 into our fiscal 14 really compounding in a very positive way, driving the momentum. Weve seen the last several quarters, and this may, our fills called quarter showed the compounding benefits of a mul multilayered growth strategy. Theres something people here, media. If youre like me and watch a lot of sports, theres two guys. These two guys i know. Every time i see them, i want to go to a sonic. I dont have a lot of sonics in my hear. How important are the two guys . I think thee quite important. Theyre highly recognizable. Pete and t. J. Theyre a lot of fun. In addition to that, because we have an array of products that cut across a variety of day parts, its really extremely helpful to have our two guys there, because it weaving that campaign weaves recognition with the customer regardless of the product line or day part were promoting. So theyre important. They are not the lions share of whats driving the business, but they are important to the campaign and important to our business. And theyre a lot of fun. I think we love them. This point of personal serve. Talk about what Technology Means for sonic . Right. So theres several technology initiatives. The first is to replace an antiquated point of sale we have it in all our Company Stores, a few franchise stores, and well be continuing to roll it out this fall and beyond with franchisees, a new point of sale system, software based. This point of Personalized Service or pops, the acronym is a video interface screen that our customers look to when they pull in, park in the stall, they see our menu, but in the center they see a video screen thats promoting items thats appropriate by day part and over time will have an expanded play with our business but we will have expanded use for this over time. Its only in half of our Company Stores right now. By the end of the summer, well have it, our fiscal quarter into august, well have it in the other half, and then well turn to our Franchise System and begin rolling it out market by market thereafter. We think and we just know when you do the transportation, you get better numbers. Yes, the management with the point of sale system will be helpful. Because were doing it with an upgrade for the whole story, its driving traffic a. Well as check, so it is driving sales. Its a winning combination. Cliff, one last question. There are many people concerned about inflation. So they say to themselves why should i own a restaurant chain when the stuff they are serving has gone up in price so much, i know they cant be making that much money. Well, we this is a concern for all consumers. Its concern for all business people. Its a concern for Restaurant Operators as well. We have a good, broad menu, with product lines, drinks and ice creams as well. So we continue to look into the menu to find ways we can raise prices, particularly on proprietary items that our competition doesnt rely on, and find a way to push price to offset commodity increases. As you mentioned just a moment ago, with the sales increase, or xeer stores does have a 40base point improvement, and as we continue to grow sales and better controls of food paper, inventory and labor with that point of sale system, we believe well get Market Expansion even in a slightly inflationary environment. Its tougher, but well get there. I couldnt agree more. Thank you so much, cliff hudson, chairman, president and ceo of sonic. Great to see you, jim. Appreciate the opportunities. Theres winners and losers in the restaurant business. This one is a winner. Stay with cramer. Coming up, strong as steel . A new industrial stock is debuts on the street tomorrow. Before the ticker trades, cramer talks to the ceo first. Can this maker of the metal used in everything from energy to ae aerospace help you strengthen your cash flow . trader vo i search. When it comes to unlocking value, there are very few things better than a breakup story. Rely lard views no when a company splits itself up, you tend to see rising stock prices and happy shareholders. Weve seen this play over and over again, which brings me to timken, it agreed to spin off the engineered steel business back in september, partly because of pressure from a pair of big activist investors, but timken has rallied. Since then, timken steel, our focus tonight is about to be spun off as an independent company. Tm, as in mary, st. Every shareholder will get one for what will it look like . Okay this is a market leading maker of high quality alloy steel bars, and other presis components, 1. 7 billion in sales. Timken steel doesnt make commodity steel. It also ploys Valueadded Services like thermal treatment. So should you hang on to timken steel . Why dont we find out with tim timken, the president , chairman and ceo of the newly formed timken steel. Welcome to mad money. Good to see you. Have a seat. Last time we saw you we were in the heart of were your great factories at that time it does seem it was good to keep the two together. Now im sitting here as a potential scholls, and trying to think, if they didnt think it was a good idea to separate, why should i keep the division im most worried about . In my career with the company, weve looked at this issue of separation four times. Each time we said we were bev off optimizing the performance of the two units together. Last look, we thought maybe weve optimized it and if there was ever a time to do it, and tomorrow well issue the shares, the two Companies Already separate, and theres a lot of excitement. Normally people would say they make lowcost steel, as part of their partner with timken and make the agreese bearings. Who else would want their steel . We have exposure across the industrial segments. Big in oil and gas. Big industries, so think caterpillar, those kinds of customers, really good geographic and market coverage. When i ran through your presentation, everyone should do that, because its really explained there. Its very clear. If you want to do something in the precision business, when you want to do mission critical, youve got to use timken steel. Thats us. We live in the niches. We dont go after the big highvolume commodity stuff. Thats not what were good at. We like the hard stuff, you know, five miles below the earths surface, in a crankshaft in an automotive application, those are the places where we really excel. Theres been a lot of talk about lightweighting and klaus kleinfeld, no stranger to the show, saying aluminum is really strong. If you see where aluminum has gained traction, its in frames, skins, those kinds of things, pinion gear blanks, crank shafts, alloy steels are just better suited. One of the things that struck me, a lot of times when we do spinoffs, they take the parts and jam it with debt. Your Balance Sheet is really strong elves one of the founding principles of the separation was that we were going to create two competitively positioned viable positions Going Forward, so pension division, Balance Sheet division, Talent Division was going to be equal. As a result two very wellpositioned industrial kind of companies. Lets go to the great plant we went to. Whats the difference between what it looks like now and what it will look like, but where the stuff goes . Since you visited, weve almost completed our 2 hubz million were turn that on in august. It will solidify or position in the large range, and the Market Segments that were strong in. I look at the division, the previous the tkr has a lot of international. You guys dont have it your division does not. How can that change . Well, were aggressively growing our overseas. Today with we do about 13 of what we do ends up outside of united states. Weve been operations or warehousing operations in mexico, in china, were building up a sales and Distribution Network globally. We believe we can continue to leverage that. One of the things you make a point, some of the markets that youre in, construction, mining, cyclical trough, this is what youre able to make a lot of money, so i think we can actually if things actually get better around the world, it could be really sewage leverage for timken steel. Right, we think over the last cycle weve managed to break even to about 50 of capacity, which is very unique in steel industry. Common knowledge is below 70 you bleed to death. When they went below the 0, they went under. Exactly. We made 160 million in ebitda. Its a good story. When i look at some of the things you may, alloy steel bars, seamless mechanical tubing, valueadded solutions, i immediately think if im going to build a new oil rig, like we saw when we were owl in utica, i cant do without using timken steel. Thats exactly right. Very, very good longterm customer of ours, and again in a very, very focused part of the market. We dont do the commodity stuff the its the tip of the string on the drill bit. That turns the power from here to here, thats the kind of tough that we love. Ive got to tell you, youre pretty fired up. I was concerned when management so called was defeated. I thought there would be a resignation to it all. As i see you out there, it seems like this is this suits you. My last job as executive chairman much the big Timken Company was very rewarding, i liked it, but this gives me an opportunity to get more active, spend more time with our customers and people. Its giving me a new lease on my career. Im fired up. I have the best team in the industry, the best set of assets, so were ripping. Last question, when you split it off, it wont be in the s p, how will you get people excited about it . You did a great analyst day . Actually we learned last week that were going to be in. Mid cap so thats good news you know, think we near ideally suited for people who are looking for a Premium Steel stock. Thats our story. Right. You really are Premium Steel growth stock. You know im always talking about the American Energy renaissance, wholesale revolution made possible by a draw fracturing or fracking for short and horizontal drilling. This is where Oil Companies pump tons of area deep underground use it to create cracks in the roll releasing oil that was previously thought to be too expensive to recover. Ug, pioneer, but tonight i want to take you in a different direction. A company that helps make it possible. Emerge Energy Services, Master Limited partnership that supports a 4. 3 yield. They make sand, specifically northern while silica sand, used as a which should drillers black overt crabs with gigantic fire hose, they need materials that will hold cracks open. As it happened, the right kind of sand does the job. Thats how a company can see stocks soar from 17 to nearly 106 today, 5350 gain in a little over a year. You have to understand where the huge boom in fracking, theres tremendous demand for the high quality sand. Meanwhile, theyre increasing lower cost capacity, boosting production. They also have their own fleet of railroad cars, and they have a fuel business where they sell wholesale products, but its the sand part that gets the attention. Even up here its got a terrific yield. Pretty inexpensive. Lets take a closer look with rich area shearer. To learn more about hi company and his prospects. Welcome to mad money. Hello ex jim, good to be with you. Thanks so much for highlighting emerge Energy Services today. Of course, the first thing that people will say, sir is wait a second. Sand . Sand is everywhere. How did a company make money off of sand . I know, we get that competent a lot, jim. Ill tell you, its not just any kind of sand. This is a very special type of sand that has to have api specs and ah to hold up under very high pressure, round, spherical in nature, a very high crush, and be able to withstand all of the new technologies involved as you described in hydraulic fracturing and horizontal drilling. So its very unique in the nature of the sand, and its very critical for any companies to be successful in this business, because youre only as good as the quality of frack sand you have in the ground. One of the things i thought was interesting, you make the point that zonal is there a certain kind of sand, but that the other guys have a hard time getting it, meaning that the competition is severely limited, even the permitting process has gotten difficult away from you. Why is it so difficult to get in the sand business . Well, the barriers to entry are certainly going up. We have seen that, and so has everybody else in the industry. There are deposits nationally, where the run of sand can vary. The size of the sand is also very important to successful fracturing, the best, coorsest is to the north, basically in wisconsin and minnesota. We could have not only high quality api frack sand, but also the coarsest product mix. That is important, because you need that particular type of material, lie a 20 40 frack sand, for oil drilling and wet gas. And we have basically been sold out of the our coarse product mix. So we think thats a competitive advantage for emerge energy, to be able to off such a high quality coarse product mix of our northern white sand. Absolutely. Again reading through the presentation, it talks about the kufrl, the biggest problem is too much demand. Sir, your structure and Master Limited partnership, youre a growth company. Why is an mlp a good structure for you . We think an mlp makes a lot of sense, because it certainly works very well for our investors. We dont have an idr in our mlp structure, so everybody shares equally in the rewards and the success that we have, and theres been a lot to share. As you noted in the past year since we launched, it will allow us then to have lower cost of equity. We dont have any issue at all as far as looking for additional opportunity both organic and through acquisition in this particular market. So this structure serves us very well as a result of that. One last question, im sure some insiders, some people will say theres been a lot of insider selling. Why should i take the other side of that . The stock has been a magnificent pressurer, but if i dont raise that concern, people will say, why did i pass on that particular issue . We did have a secondary offering, as youve just noted. We didnt do that to raise capital. In fact, we Just Announced that we have a cash revolver, a new one of 350 million, with 100 million accordion, and we really did the secondary offering, because a number of our unit holders, including our private equity firm, our owners, inside equity, an outstanding organization, had Legacy Investors who have put money into their fund for years, and we felt it was time to start sharing some of the rewards with them. But the company is very sound fundamentally Going Forward. We see a lot of potential up side, and were still very bullish. New york towns can ban fracking, state courts said. Are you concerned at all about some sort of back lash in people wire about fracking, people getting things on the ballot saying maybe fracking should be banned. How much of a concern should this be for investors . I dont think its that big a concern. We take those issues seriously, for sure, but i think if we can separate, jim, the emotion from the fact of what is going on with the different issues brought up about fracking and about mining frack sand, i think the science is there to prove that drink as well as the mining of frack sand, even, can be done in a safe and responsible way. With all these issues on the table, the technology has evolved, and its evolved for the better. So these are all very positive things moving forward that are good for people who are concerned about the impact of mining frack sand as well as drilling, and i think, frankly were proving, for those who will listen to the fact that, again, moving forward, this whole process can be done very responsibly and of course its a very, very positive thing for our nation and for the Energy Industry as a whole. Well, sir, ive done a huge amount of money for a your unit holders, and i want to thank you on for coming on to mad money. Good yield, good growth, thats what you should be looking for. Stay with cramer. A month . Yup. All five of you for 175. Our clients need a lot of attention. Theres unlimited talk and text. Were working deals all day. You get 10 gigabytes of data to share. So if youre ready to see opportunities and see them through, we say lets get to work. Because the future belongs to those who challenge the present. The quarter end, just like the rest of the year. Ive got to tell you, it just keeps surprising, maybe we should be less surprised and more invested. What can i say . Id like to say theres always a bull market somewhere. I promise to try to find it
