Sale") an aggregate of 200,000 common shares (the "

396") to 2171117 Ontario Inc. ("
117") pursuant to a share purchase agreement entered into between RKF and 117 on April 21, 2021. The Sold Shares were sold at a price of $0.00003 per Sold Share for an aggregate price of $6.
Prior to the Sale, RKF held 500,000 (16.6%) shares of 396. As a result of the Sale, RKF now holds 300,000 (10%) shares of 396.
The Sale was conducted in reliance on the "private agreement exemption" in section 4.2 of National Instrument 62-104 -
