( Elevate ) today announced the commencement of an offer to exchange (the Exchange Offer ) any and all of the outstanding 5.250% Senior Notes due 2024 (the Old Notes ) issued by Fly Leasing Limited ( Fly ) for new notes (the New Notes ) to be initially issued by Elevate and ultimately assumed by Fly upon consummation of the merger of Elevate and Fly following which Fly will be the surviving company and an indirect wholly owned subsidiary of Carlyle Aviation Elevate Ltd.
