Scheme becomes effective on 11 May 2021Prism Johnson announced that the company has filed, with the Registrar of Companies/Ministry of Corporate Affairs, the certified copy of the Order passed by the Hon ble National Company Law Tribunal, Hyderabad Bench sanctioning the Composite Scheme of Arrangement and Amalgamation amongst Prism Johnson, H. & R. Johnson (India) TBK, Milano Bathroom Fittings, Silica Ceramica , TBK Rangoli Tile Bath Kitchen, TBK Venkataramiah Tile Bath Kitchen, TBK Samiyaz Tile Bath Kitchen and
their respective shareholders and creditors (Scheme).
Accordingly, the Scheme has become effective on 11 May 2021 with Appointed Date being 01 April 2018.

Pursuant to composite scheme of arrangementJubilant Pharmova announced that pursuant to the Composite Scheme of Arrangement amongst HSB Corporate Consultants, Jubilant Stock Holding, SSB Consultants & Management Services, JCPL Life Science Ventures and Holdings and JSPL Life Science Services and Holdings (collectively, the Transferor Companies ), Jubilant Pharmova (the Transferee Company or the Demerged Company ) and Jubilant Ingrevia (the Resulting Company ) and their respective shareholders and creditors (the Composite Scheme ), Non-Convertible Debentures
of Rs. 100 crore issued by the Company on Private Placement basis has been transferred by the Company in the books of account of Jubilant Ingrevia.
Record Date for suspension of trading of the NCDs of Rs. 100 crore under the name of Jubilant Pharmova is Thursday, 20 May 2021. Post suspension of the NCDs, these NCDs shall be listed by Jubilant Ingrevia.
At meeting held on 05 May 2021The Board of Maithan Alloys at its meeting held on 05 May 2021 has approved the Composite Scheme of Arrangement ( Scheme ) amongst Ma Kalyaneshwari Holdings ( MKH or Demerged Company or Transferor Company ) and Anjaney Land Assets ( ALAPL or Resulting Company ) and Maithan Alloys ( MAL or Transferee Companty or Company ) and their respective shareholders and creditor.
The Scheme provides for:

Pursuant to the amalgamation, there will be no change in Promoter s holding in the Company. The Promoters would continue to hold the same percentage of shares in the Company, pre and post the amalgamation of the Transferor Company with the Company.
