On 12 May 2021, Nightcap announced that it had conditionally raised a total of £10.0 million by way of a placing (the Placing ) of new ordinary shares of 1p each ( Ordinary Shares ) at a price of 23p per share (the Placing Price ). The Placing, which comprises two tranches, was significantly over-subscribed due to strong investor demand. As a result of this demand, Nightcap and its broker, Allenby Capital Limited, sought to satisfy the further investor interest via arranging for certain of the Company s significant shareholders to sell some Ordinary Shares. As a consequence, the Company was notified on 13 May 2021 that Raymond Blanc has sold 4,347,826 Ordinary Shares and David Moore has sold 2,350,000 Ordinary Shares. All of these Ordinary Shares were sold at 23p per share, being equivalent to the Placing Price. All of Raymond Blanc s sales occurred on 12 May 2021.
