CONSTITUTION.

ARTICLE I.
The name of this association shall be the Talbot County Education Association, Incorporated (hereafter referred to as "the Association" or "TCEA").

ARTICLE II AFFILIATION.
Section 1: This Association shall be affiliated with the Maryland State Education Association (MSEA) and the National Education Association (NEA).

ARTICLE Ill PURPOSES.
Section 1: To work for the welfare of school children, the advancement of education and the improvement of instructional opportunities for all.

Section 2: To develop and promote the adoption of such ethical practices, personnel policies and standards of preparation as mark a profession.
.
.
Section 3: To unify and strengthen the teaching profession and to secure and work for improved salaries, retirement, insurance, tenure, professionalization and sick leave, and other working conditions necessary to support teaching as a profession.

Section 4: To enable members to speak with a common voice on matters pertaining to the teaching profession and to represent individual and common interests before the public and interested citizen groups.

ARTICLE IV Membership.
Section 1: Membership in this Association shall be open to all persons employed by the Board of Education of Talbot County except certificated employees assigned to evaluate other certificated employees.

Section 2: Membership shall be continuous unless the member leaves the employment with Talbot County Public Schools or notifies the Association in writing between September 1 and September 20 of any membership year of his/her intent to resign from the Association.

Section 3: The membership year shall be September 1 through August 31.
.

Section 4: No discrimination shall be shown toward individual members or applicants for membership because of race, creed, gender, age, social, political, or economic status, national origin, or sexual orientation..

ARTICLE V OFFICERS.
Section 1: The officers of the Association shall be: President, Past President, two (2) Vice-Presidents (one must be ESP), Secretary, and Treasurer.
An officer must be a member of this Association.
The President must be a certificated member and must have served at least two years as a Faculty Representative or on a Committee or the equivalent thereof before assuming the office.

Section 2: All officers shall be elected by the membership of the Association for two-year terms, commencing on July 1 and ending on June 30.
The past President will serve a one year term for transition purposes.

Section 3 Duties: .
President: .
a.
preside at all meetings of the Association, the Board of Directors, and the Representative Assembly; .
b.
appoint such standing or special committees as are deemed necessary for the conduct of the affairs of the Association.
c.
be an ex-officio member of all standing and special committees.
d.
approve all bills incurred and vouchers drawn on the treasury of the Association before any bill is paid.
e.
prepare an agenda for Board of Directors meetings and Representative Assembly meetings .
f.
be the chief spokesperson for the Association.
g.
represent the Association at national and state meetings and other affiliated groups' meetings .
h.
charge the Committee on Nominations to formulate a slate of officers for the coming year.
i.
perform such duties as may be directed by the Board of Directors and the Representative Assembly.
j.
serve as a member of the Board of Directors for one year after his/her term has ended.
k.
perform all other duties incident to the office of the President..

Past President: .
a.
give guidance and advice to the President and the Board of Directors;.
b.
perform all other duties as requested by the President..

Vice-President of Education: .
a.
assume the duties of the President if he/she is unable to perform the duties.
b.
act as President when the President is absent.
c.
perform duties that may be assigned by the President.
d.
have the responsibility of assuring that committees are organized, necessary meetings are held, and reports are submitted to the President..

Vice-President of ESP:.
a.
act as President when the President and Vice-President of Education are absent.
b.
perform duties that may be assigned by the President .

have the responsibility of assuring that committees are organized, necessary meetings are held, and reports are submitted to the President..

Secretary:.
a.
keep accurate and complete record of the proceedings for the Board of Directors meetings and the Representative Assembly meetings.

will attend and report back on all Board of Education meetings to the President.

Perform duties that may be assigned by the President..

Treasurer: .
a.
receive and keep an accurate account of all funds .
b.
prepare and present a financial statement to the Board of Directors and the Representative Assembly at each meeting .
c.
pay all bills by check .
d.
present all financial records in readiness for annual auditing .
e.
prepare and submit tax and other governmental forms in a timely fashion.
f.
attend meetings of the Auditing Committee .
g.
deposit funds in an insured financial institution .
h.
perform duties that may be assigned by the President..

ARTICLE VI BOARD OF DIRECTORS.
Section 1: The Board of Directors shall consist of the six ( 6) officers of the Association designated in Article V, Section 1 of these Bylaws and four (4) members-at-large.

Section 2: The four members-at-large shall be elected by the membership of the Association for two (2) year terms commencing on July 1 and ending on June 30.

Schedule of Elections: .
Odd Year-- President, Vice-President Support, Treasurer, Member-at-large Middle School.
Even Year --Vice-President Certificated, Secretary, Member-at-large Elementary School, Member-at-large High School, Member-at-large Support Staff .

Section 3: The following shall be standing committees of the Board of Directors, with each committee to be chaired by a member-at-large of the Board of Directors: .

Membership: .
a.
update membership roosters monthly and report numbers to President and the Treasurer by the 8 day of each month dues are collected .
b.
recruit new members .
c.
generate benefits from local businesses; and perform duties that may be assigned by the President .
d.
report back to Representative Assembly concerns and suggestions personnel represented .
e.
perform duties that may be assigned by the President .
f.
perform the duties involved with grant writing.

a.
make sure each department is adequately represented .
b.
report back to Representative Assembly concerns and suggestions of personnel represented .
c.
perform duties that may be assigned by the President..

Audit/Budget: .
a.
work with the Board of Directors to prepare annual budget by June 1 .
b.
head an annual internal audit of the Association finances to be completed after August 31 of each year.
Audit must be performed within 30 days of the fiscal tax year ending on August 31.
c.
report back the Representative Assembly concerns and suggestions of personnel represented; and .
d.
perform duties that may be assigned by the President..

Social:.
a.
organize and coordinate all social activities of the Association.

Section 4: The Board of Directors shall: .
a.
assist in directing the affairs of the Association .
b.
recommend policy to the Representative Assembly for adoption .
c.
implement the policy decisions of the Representative Assembly .
d.
act on committee reports; e.
assist in the preparation and approve the proposed annual budget to be presented to the Representative Assembly .
f.
act in an advisory capacity to the President and the Representative Assembly .
g.
approve all expenditures in excess of $1,000.00 .
h.
perform all other activities of the Association not specifically assigned in these Bylaws to other bodies or persons..

Section 5: The Board of Directors shall meet monthly and/or upon the call of the President.
A majority of the Board of Directors members shall constitute a quorum for the meetings of the Board of Directors..

Section 6: Whenever a majority of the Board of Directors shall agree that a member of the Board of Directors has been grossly negligent of the duties defined in the Bylaws, is incapacitated, or is guilty of misconduct, they shall recommend to the Representative Assembly that the office be declared vacant.
If the Representative Assembly so votes by a two-thirds majority, then the office is declared vacant..

Section 7: In the case of a vacancy in any office except President, the President shall appoint an individual to complete the remainder of the term, subject to approval by the Board of Directors.

ARTICLE VII REPRESENTATIVE ASSEMBLY.

Section 1: The Representative Assembly shall: .
a.
adopt the annual budget .
b.
set the local dues amount to fund the budget.
.
c.
make recommendations to the membership for policies for the good of the Association .
d.
determine policy of the Association not defined in these Bylaws..

Section 2: The Representative Assembly shall consist of the Board of Directors of the Association and representatives from each school and the ESP from central office.
Each school shall be entitled to one representative for every ten TCEA members or major fraction thereof.
If a school is entitled to two or more representatives, at least one should be non-certificated..

Section 3: No officer may serve as representative for his/her building..
.
Section 4: The Representatives shall be responsible for the following: .
a.
communication between the site represented and this Association.
b.
promotion of membership at his/her site.
c.
presentation of petitions, proposals, or resolutions at the request of his/her site.

Section 5: A majority of the Representative Assembly shall constitute a quorum, provided that there are representatives present from at least 2/3 of the worksites.
