For the below non-solicitation clause, if a customer contacts the former employee to perform services for them, is the former employee allowed to perform the work for that customer without breach of contract?
Non-Solicitation.
For a period of five (5) years after the Separation Date,
Employee will not directly and or indirectly, in any way for his own benefit or for the benefit of
any other person, venture, firm, business, corporation, or enterprise contact, employ, solicit or
attempt to persuade any employee, agent, independent contractor, or customer of Company to
terminate his, her, or its relationship with Company or do any act that may result in the impairment
Parties are free to set the date on which they officially execute an agreement.

Volunteers who observed the Republican-backed audit in Maricopa County, Ariz., were required to sign non-disclosure agreements, according to ABC-15.
The news outlet reports that the terms of the agreement, provided by Cyber Ninjas, Inc., which is overseeing the audit, require volunteers to refrain from sharing details about anything they observed or heard while the audit was taking place. Volunteers are only allowed to speak under one condition: They are given permission to do so by the company. Volunteer observers of the GOP’s shady “audit” of Maricopa County, Arizona’s 2020 election results are being required to sign non-disclosure agreements, local station ABC 15 reported Tuesday night.
An unnamed volunteer told ABC 15 that all observers were being required to sign the document by Cyber Ninjas, the lead contractor for the audit. The so-called audit, which has faced legal challenges and criticisms over lack of transparency and poor logistics, was initiated by Arizona’s GOP-controlled state senate.
“I agree that unless I am authorized in writing by Cyber Ninjas, Inc. and the Arizona State Senate, I will not disclose any Confidential Information to any person who is not conducting the Audit,” the non-disclosure agreement reportedly reads in part.
