Axiata and Telenor in talks to merge Celcom and Digi Details 09 April 2021 Axiata Group and Telenor Asia are in advanced discussions on the merger of their Malaysian telco operations of Celcom Axiata and Digi, with both parties having an equal ownership of about 33.1% each. MergeCo will be named Celcom Digi, and Axiata and key Malaysian institutional shareholders will own more than 51% of the new entity. The proposed transaction will be finalised in the second quarter of 2021. With the intent to create the leading Malaysian telco, MergeCo will bring together the combined scale, competencies, finances and vast experiences. This is in an effort to generate significant synergistic value for a commercially stronger and more resilient MergeCo, which will be better positioned to drive the country’s transition into a high-income digital society.

Published on: Friday, April 09, 2021 By: Bernama Text Size: Kuala Lumpur: Axiata Group Bhd and Telenor Asia, the major shareholder of Digi.com Bhd, are proposing to merge Celcom Axiata Bhd and Digi to become a company, known as Celcom Digi Bhd (MergeCo). Axiata, together with Malaysian institutional funds, will own over 51 per cent in the company. In a statement today, Axiata said as part of the merger transaction, the company would receive newly issued shares in Digi, representing 33.1 per cent post-transaction shareholding and cash equalisation amount of around RM2 billion, of which RM1.7 billion would come from Digi as new debt while the balance of RM300 million will come from Telenor.
