(âEcoarkâ or the âCompanyâ) (OTC: ZESTD) announced that it has entered into a definitive agreement with a single institutional investor for the purchase of a total of 888,889 shares of its common stock and short-term warrants to purchase an aggregate of up to 888,889 shares of common stock, in a registered direct offering. The combined purchase price for one share of common stock and a warrant to purchase one share of common stock is $9.00. The warrants have an exercise price of $10.00 per share, will be immediately exercisable and will have a term of two years.
