And a fellow named Andy Jassi is taken over the deal Good morning everybody it's Barry and Chuck with you here on a Wednesday after everybody seems to be recovering from that big snowstorm Yeah and obviously as you mentioned the the big news is Bezos stepping down as the c.e.o. Of Amazon he's been in that role since the start of the company little bit more than 26 years ago back in 1000 Emmy we're going back to 1994 like you know I think about how long he's been there I mean again he started this company when he was 31 years old and here he is now he's 57 and he's still going to stay on as chairman of the board but obviously stepping down from that c.e.o. Role and I think you know there are a few different questions to ask on this the 1st one that comes to mind is why is he stepping down I mean obviously we talk about how being a c.e.o. Especially of a company like this is you know not for someone who is you know an advanced age but 57 I mean we see plenty of C.E.O.'s that work into their mid to late sixty's with no issues so you know I certainly. I don't think it's age related here the 2 things that I come to number one just from talking with some folks who was are involved that Amazon seems like he's been spending a little bit less and less time there is the last couple years of going on anyways I think he is getting more and more involved in his spaceflight venture Blue Origin It sounds like you know wouldn't be surprised if he wants to spend a little bit more time that way the other piece is we are in a an environment now where again rightly or wrongly big tech is at the center of an awful lot of potential antitrust legislation and regulation and to a certain extent I think by Bezos removing himself from the equation again he's the most visible face at Amazon I think it takes one potential target away just in terms of winning the public messaging war you know that I think is brewing when it comes to the regulation on these tech companies and honestly I think this is something that you know Mark Zuckerberg should have done 5 years ago when Facebook would be viewed very differently if Duckett stepped down and so I think that's part of the equation too what are your thoughts you know you're 57 years old you've got more money than you can ever possibly spend right and maybe running a company with 1300000 employees just doesn't do it for you anymore you know I could see you know for 27 years this guy's been workin 80 to 100 hours a week never get a day off right he hasn't had a day off in 27 years when you run a company that size it's never something where you can say Well honey let's go on vacation for 2 weeks and disconnect right where we're not going to answer e-mails not even to bring our cell phone it's now this guy has worked on been on call 247 for the last 27 years he may be in it could be just a stage of life where he's saying I've got enough money I want to focus on my charity events or my. Kids or my grand dogs are all you know whatever it is that he turns them on. I see guys in this plateau frequently and a you know I'd rather get out at 57 with my health because who knows you could be gone by the time you're 65 maybe you just want to go shop at Wal-Mart now I don't think that that's going to happen he can he can have somebody go shop for him but I suspect you get to a certain stage of life and you just say walk away with 200000000000. 0 not quite that much I don't think I think it's like 150 I mean it's only 196000000000. Yeah yeah I mean a like. That's just my my intuition I you could be right maybe he's going to go all in on space x. Or something like that but. The new guy I think has his work cut out for him because to your point they are facing a tremendous amount of litigation but you know a company like that is going to budget for it right they're going to say Ok we need to. You know spend $500000000.00 a year I don't know if the numbers they just budget for the say hey we you know yeah we're going to have 5 I wouldn't be surprised if Amazon had 500 lawyers on staff just in their legal department Oh absolutely they have the best lobbyist that money can buy because they realize that they are again I don't think they're you know the number one target in some of this anti-trust you know regulation that may be coming when they're certainly in the top 2 or 3 you know it's very name and am and Google and Facebook you know they're all right there as far as you know having an awful lot of eyes on them at this point so yeah it's probably a common To Do you really do you think their biggest malfeasances when you look at that company the thing that bothers me is that they sell fraudulent products online and they see if they steal product ideas from their their customers and undercut them and you know the predatory practices I think you know when I look at those activities those those take out little guys you know that some poor guy selling coffee or something has a good design for coffee sales and Amazon just puts him out of business but when you look at what they do you know from the from an overall perspective what do you think their biggest or most egregious activity is yeah I think those are probably the biggest ones whether it is the co-opting of. Good ideas by Amazon or simply the fact that in many cases we've talked about how they've allowed counterfeit products to exist on their platform that have also took say taken sales away from businesses on their platform I think those 2 you know are right up there certainly there's been some smoke when it comes to their labor practices in certain areas as well in terms of working conditions and shift things like that you know I don't know as much on that side just because I have not if I'm being honest I haven't paid as close attention to it but I would imagine that will be part of the equation as well in terms of you know when you look back again when you look back at what Jeff Bezos has done there again he's been there 26 years he found a company in his garage in Washington state and just like any other founder of a massive company there are things that made him and his company great where again the reason Amazon is what it is is because of decisions that were made by him and the people he brought on and likewise but it's also a complicated situation where they have huge failures like the you know counterfeit issue like you know the monopolistic practices that they employ as well it's very rarely black or white when it comes to you know someone building something like this just because you have you know the good parts of the company the good things that have to have happened I mean think about how many products are sold on their platform that have made their owners millionaires you know many times over I mean these are the kinds of things that that are good obviously it's created the ability for so many sales to be made but you also have to take the bad part is that there's good and bad in a company that gets to this size and that's going to be you know the legacy that we have to reckon with here now the. The new guy comes in let's talk about their earnings you know they posted $125000000000.00 in 4th quarter sales I wanted to throw out another stat that wasn't included in the this report chuck in the 4th quarter of 2020 Amazon hired 170000 workers since Aine. I mean. Word of the day that's 2000 workers a day that you're onboarding I would hate to be the h.r. Had They're like it's just like your head spins just thinking about it obviously it's not one person doing all the hiring but you know it's just it's insane and even on the sales numbers $125000000000.00 in a quarter means there's still $1300000000.00 worth of goods every single day while the number includes There are 8 of us right and I know that's a good answer goods and service but doesn't the vast majority of their profit come from a ws as opposed to the you know selling coffee Yeah it varies from quarter to quarter but it's generally anywhere between about 40 and 60 percent of their actual profits come from Amazon Web Services it's the best accidental product that I've ever seen I mean again this was not something that was you know by an accidental What do you mean by an accidental product. So basically you know how Amazon Web Services started. I think it had to do with they needed a lot of storage capability for their own company and but they had a lot of excess when they were using it all and so they started selling it and then they realized and this guy Jassi that figured out that hey this is an underserved market and I think they control more than 30 percent of. You know that data storage market yet basically they had all these extra servers for the holiday rush that really only got used you know during the November December rush because they didn't want the site to crash and so what they said and this was about maybe 1213 years ago when they started this business is they said look we got all this extra space why don't we just lease out all this extra server capacity to other people when we're not using it because otherwise we've paid for it or you know all these computers are not doing anything with it and so it's grown from you know this you know kind of you know throwaway Oh yeah we'll just rent out our extra server space into you know a multi-billion dollar business that contributes again about 40 to 60 percent of Amazon's profits each year it's just become a monster for them and if we're being honest that engine that profit engine is what allows them to grow the retail business that operates at really low margins they don't make much money off selling your stuff on Amazon actually a ws allows them to maintain those low prices and low margins on the retail side that most of us well it does and that is also one of the criticisms towards a company. Critics will say Yeah but you're artificially depressing your prices and you're putting other companies out of business you know there's a lot of anti Amazon people out there you know that have you by the way you've been during January you hadn't shopped at Amazon have you broken down yet still have it we're $34.00 days into the year so we're almost to him percent now in 2021 and I have not bought a. Alphabet shares are up 7 percent on news that they posted a record $56000000000.00 revenue quarter up from $43000000000.00 a year ago. This company also a juggernaut Chuck and they're making a lot of their money on advertising and by the way we didn't talk about Amazon Amazon also making a ton of money in advertising yammers on is with Google it's much more of a one trick pony they're advertising units pulling in 46.2 out of the 56900000000 in revenue that they made in so obviously you know very concentrated as far as the overall amount of revenue that comes from search and advertising it's 82 percent of their revenue coming from that one area and so obviously you know this is a company when when you do talk about the company that I think has you know is in the number one spot for potential antitrust regulation and litigation that's already ongoing it's Google and I think they have some real problems based on again some of the main lines that we have seen you know well what are they doing that is is so egregious Well basically it looks like in this is according to the claim that I believe was brought by the Texas attorney general in there are I think either 9 or 12 other attorneys general that have signed on to the suit but basically it appears that they conspired with Facebook to. Effectively drive up in maintain pricing power in the online ad sales marketplace in situations where otherwise they would have been competing where Facebook and Google should have been competing against each other and so. That is what you're talking about yeah I mean it's it's pretty textbook antitrust stuff in it's not even you know something where it's like hey we're using our own market power it's strictly like you know we colluded with the only other major competitor in this space to drive ad prices up to maintain pricing power it really doesn't look good for them so how would the typical response be something that you know of besides a fine. How does a government respond to some like that with a it's not they're not at risk of being broken up I would think. I think they should be Google should be broken up to yes how would you how would you divide it well. Basically so that the search side and the advertising side should be split up because otherwise you have a huge conflict of interest where you're directing people towards potentially the properties where you're most profitable from an ad perspective like there's a huge conflict of interest there so I think that's one way you can do it even on the ad side remember back in I think it was 2007 maybe was 2008 I can't remember Google bought a company called Double Click for a couple $1000000000.00 that had a huge online advertising network they integrated it in they pretty much part of one of these complaints also shows that they they said listen we're going to build a affectively a wall inside the company so that we can't see what's going on on the doubleclick side and our ads are going to operate independently we won't even be able to see any of the data a year later they fully integrated it gives these the kinds of things where if you go back on the promises that you made to the f.t.c. And to the d.o.j. When you're making these acquisitions you should have to do the deal these are these the kinds of things where. If you lie to regulators saying No we no way we can integrate this data they're going to be 2 separate companies we can and then you do it well no no you fundamentally like the argument you made is no longer valid so you have to go back and revisit the deal these are the kinds of things that you don't want you don't want this much consolidation in the market which is you know again if you want to advertise online where do you go right now Facebook Amazon Google those the only 3 games in town that's it now and Google owns You Tube right don't they make a lot of their advertising revenue off the You Tube They make a ton there I mean that's another piece that you could spin off like with all these companies that they're very easy things where you could look at it and by the way you could make a case that this stuff would be really good for investors to like I could go and invest in you tube instead of investing in like you know Google trying to build electric you know driving cars give me You Tube 8 days out of 7 you know like I'll take that every single day of the week because that's where the money is right now so what did you make of the announcement the Google Ford announcement was out of any significance you know I don't know it's it's something where I'm. That the Google is going to be basically installed in all Ford vehicles right and they're going to use Google for cloud services I see the upside for Ford because obviously they don't have to develop any of that stuff then I guess they look at it like if you're Google in years maybe Google is looking at the same way that they will get the Android platform saying hey we're not going have one partner in autos we're going to you know try to develop multiples but like if you're trying to pick an automaker to bet on right now is it Ford Right definitely not for Google could buy Ford right. And now when I say jointly there's actually 2 ways of joint ownership right just pull your deed take a look at it joint if it's simply joint ownership it's going to have the husband in the wife's name on it and it's going to say something like. Joint tenants what the right of sir. Diver ship Ok And and what that means is that if if one of you both own it 5050 if one of you dies the survivor automatically gets it and it avoids probate seems helpful but doesn't help at all from an estate tax planning standpoint because then the survivor has the whole house and if there's no planning done in the Survivor dies then it's going to go to probate and wasn't sheltered to help reduce estate taxes on the 1st death so that's not a great way of owning it but it's way it's oftentimes owned another common way that it's own and especially for the primary residence and really I'm going to say only for the primary residence something called joint tenancy by the entirety Ok so what's that that's in you'll see it on there often times joint t. By easy right tenancy by the entirety Well it's still joint and so all the same rules I just discussed regarding dying avoiding probate getting it to the surviving spouse and not helping with estate tax planning it all still applies but you get one other benefit. Tenancy by the entirety means that it is protected from creditors So how does that work say I get sued and I'm the one that sued I'm I something I did wrong my and my wife is not involved in the suit the creditor cannot force me to separate the joint tenancy by the entirety to access the house as an asset for the creditor so you can't force the separation when it's joint tenancy by the entirety unless both parties sign and of course they won't that's the point of doing it so it does provide an added little bit of creditor protection again neither of these approaches are to me going to be helpful from an estate planning bloodline planning right tax get to your children approach so if you are older and all you have is a whole new live in what is the ideal method of only let's say you're 70 years old in years you're married or said go to suppose it doesn't matter what would you recommend in terms of ownership of a primary residence and you're absolutely right to mention single or married because it doesn't matter in this case when you know when you're you know when you get up there in age and you need to then look at the size of your estate and decide do I need nursing home planning or not if it's not a revokable trust would be in order if it's yes then an irrevocable trust would be in order either way owning the property in the trust is going to be far superior than the joint form of ownerships that we just talked about a minute ago it's going to avoid probate it's going to reduce estate taxes it's going to provide bloodline planning on either side and if it's irrevocable it's going to do all of that and add some nursing home protection at the same time Ok All right we'll should probably talk about you know vacation homes. Good morning. So the tax implications are none now let me explain it only I'm trying to question your neutral Are you married. And again if if we're going to set up an l.l.c. You would do how many apartments do you have. 3 have 3 houses so you can either set up a holding company with a couple of sub l.l.c. S. Or you and with only 3 you're kind of on the bubble you probably don't need the holding company yet you could probably just set up either 3 Elsie's or you can group them and maybe put like 2 in one and one in another based on value right you don't want to put too much value in any one l.l.c. So for other people listening the benefit of doing it is from a creditor perspective that if a lawsuit happens because they slipped and fell on your property if its own way Robert owns it now they would sue Robert directly personally and they could go after every single asset that he and his wife half because it's owned by them if it's owned by them personally. And if you put it in an l.l.c. Then they can only the creditor can only sue the company not the shareholders so now you take away the ability to get all the other personal assets thereby reducing your creditor exposure so wonderful way of owning it I strongly suggest it for all rental properties and I still tell you to keep your insurance out there that's why you need it right don't get rid of your umbrella insurance you keep that to settle the claim right the creditors are going to go after that claim from a tax perspective that they are neutral 2 things one if it's 2 members meaning let's say Robert you and your wife own it $5050.00 or you put the shares in your the shares of the l.l.c. And your family trusts $5050.00 that it tends to be 5 tax return is filed no taxes are due at the l.l.c. Level everything flows to your personal return if on the other hand you have a joint revokable trust and you put it all in one joint revokable trust now you have what is known as a single member l.l.c. And a single member l.l.c. Doesn't even file a tax return so you continue to file everything on your 1065 it is on your 1040 excuse me it is disregarded. For income tax purposes so absolutely no administrative headache for single member l.l.c. Should however long I would have to avoid capital gains that when I sell my well it great question a lot of people think of this so here's what's happened. Folks just laid out for you she's rented the property for a number of years I don't know how many and she wants to move in there later and then sell it and of course to make it your primary residence you can do that you have to move in live there for at least 2 of the last 5 years in order to qualify for the capital gains exclusion which she's referring to is a 250000 dollars exclusion for single people a 500000 dollars exclusion for married couples if you own and used the property as your primary residence for 2 of the last 5 years problem can you do it yes in this case however whatever you paid for the property how let's say you paid 200000 for it and you depreciated the basis by renting it by 100000 over the years so now you've lost 100000 dollars of basis due to depreciation even though she moves in and sells the property as her primary residence that again associated with the depreciation will still be taxed as ordinary income and not available to be sheltered so that's only 100000 the right. What would you do with the house property of me so 1st and are you married Yes Ok so you know 1st and foremost you want to think about all your assets not just these 2 but focusing on these 2 you know we would probably want to set up some kind of a trust for you again whether it's revokable or irrevocably will depend on the type of object of as you have in the estate planning world and then I would put them in now a couple of things by putting these properties into. Into the trust one you're going to avoid probate now we say that it sounds like well that's not a big deal but it is in your case for sure because you go to you go to probate in 2 states if you didn't do it you have to probate in Maine and mass and so so this is really helpful for people who have property in multiple states so we throw the properties in the trust and that's going to help us avoid probate keep you in control and provide that bloodline planned your family as you said to your kids how and when you want them to get it and likely reduce or eliminate your estate tax liability at a bare minimum Now having said that is the home in Maine. And the camp in Maine is that rented to you generate income from it. No that you know no I did rent the house for the low if b. And b. But if we did not appreciate it while you're in any event even if you didn't you're going to be charged appreciation the government doesn't let you not depreciate so please take it going forward because you're going to get penalize for it anyway but in any event if you're not renting it you don't need the l.l.c. So much idea for that I was going to tie in the l.l.c. And Gov Ron decentest is at the top of that list right now he hasn't been involved in all the election dispute and all that craziness that happened after November he was busy running his state and running it quite well and I've experienced some of this I've made a couple of trips now down to Florida to see what it's like to be in a place where people are largely living their lives despite the pandemic and now dissent is going even a few steps further my saying that he's going to take actions that let's be honest should have been taken by Republicans when they had a majority in the House and the Senate and the Trump presidency but they didn't big tax control its financial contributions to politicians and just its overall influence on our entire system is hard to overstate and the g.o.p. But this affects you no matter what your businesses you can run a flower shop and you say the wrong thing about covert policy and all of a sudden you're not able you know your account is shut down well if you need that account to promote what you're what your store does you could be put out of business pretty quickly and if you say the wrong thing you could also end up getting a pile on from social media and they'll never stop that right they won't they won't try to prevent people from having their lives ruined by the by the social media mob so there's a lot of consequences even for folks in there in their day to day from this no matter who you are no matter what you do for a living and this is deeply on America and we need to understand that's the way we should speak about this it is deeply un-American for companies to suppress political speech when they exist and they created themselves I mean they were built they made they made promises are around being free exchange of ideas platforms so that they essentially lied to us when this was all a bait and switch they said oh no as long as you don't do anything illegal as long as you're not doing something that we could all agree is agree just death threats putting you know illegal content online things like that as long as you're doing that will let you share your ideas now then they changed because the little Wolk children who run these companies now because even though they're not necessarily the ones at the top of the org chart they're so vehement in their ideas I mean they're so absolutely scornful of people with different points of view that they'll just torch anyone who gets in their way including people in their own company who try to be a little more adult people try to be a little bit more fair minded about all of us to Santas telling everybody that cancellation can happen to anyone and this needs to stop play 14. 100 Biden story was true Ok we now know was true and the typical corporate media outlets they just chose to ignore it obviously they wanted to be Trump they had a they had a view on the election they didn't want to give it any air so we rely on social media to go around that not let corporate legacy media outlets control the discourse and let us speak so you had the New York Post to run it and you couldn't get any traction you couldn't get any reach on it because big tech put their thumb on the scale so that was true what they said at the time oh it was it was it's a conspiracy or it's based on on on hacked information are you kidding me you're trying to tell me if there was hacked information that could damage me you guys wouldn't print it give me a break you can whiz on my leg but don't tell me it's raining you guys would print it every single day if you could and big tech would allow it to proliferate every single day 2024 seventh's so it's not being done in a principled basis and it's not there's there's threats on me and that only gets taken down if law enforcement goes and tells tells them to do it otherwise it just stays up there not moderating any of that so they haven't done a good job in it the thumbs always on the scale in writing one direction and we just need to bring We need to bring some protection for folks I really really worry when you have a business owner that may rely on some of these tools to do small business if they engage in wrong think or they go to the wrong political event then all of a sudden they can act in concert and just take take you off you need to have protection against that. And he's not just speaking about this isn't just a rhetorical thing he's going to push for action in that at the state level in Florida to protect people States you know Facebook and these other companies they're operating in Florida and so he wants the state legislature to start creating protections in that state for your data against political discrimination I mean ultimately what we really have to do is wherever we can create categories or add a category of political discrimination to anti-discrimination law and I know that some people said no no but that's not the libertarian view is that we should people private businesses should be able to do yeah but they can't and that's never going to change so we can either create protections for more people so that we have actually some hope of being able to win this a win this political and cultural fight over the long term of free speech or we can just continue to suffer and get crushed so dissent is saying that there are going to start doing things in Florida he wants the legislature the state legislature to go along with this the great protections for people from from big tech this is the beginning of what needs to happen people ask me how do we deal with this or what are the next steps we need to sue them there needs to be financial pain or at least the likely. Likely prospect of financial pain that has to happen there have to be consequences for the kinds of censorship for the overreach that we're seeing or else they'll keep just doing it there is this idea and I've been telling you this from the very beginning oh don't worry once the election stuff is over once Joe Biden's president they're going to let people go back to normal no they're not. Why would they they got away with it they were able to exercise these companies in concert with the Democrats they're able to team up and exercise power now their guy Joe Biden's in office you think they're going to back off now you think that they really view what they did as anything other than a huge win No that's why you've got to have Republicans in places where they do have power and control to wield it in defense of liberty past 70 when liberty is under assault is not a virtue and a lot of conservatives I think have adopted this position of well just let the market speak or well just let things play out and we'll see. While we are seeing because that had been largely the approach and it is a disaster. And it hurts individuals it hurts people it ruins their livelihoods it destroys their business models I mean they kicked parlor off the Internet and people were cheering this on circles as if somehow this it achieved something meanwhile Facebook was a was more of a place where there was a conspiracy hatched about the Capitol Hill riot but it didn't matter because they were still trying to just take off parlor because parlor won't play by the actual rules meaning whatever Democrats want those are the only real rules the principle is the Democrats have power and they will crush you if you don't do what they want that's the only principle they abide by dissenters knows this and he's had enough of it played 12.
