It all goes back to april of 2014 when we learned the old Zimmer Holdings planned to acquire biomed for 13. 4 billion in a deal that made them the second largest orthopedic play the biomed merger diversified their Product Portfolio making them a one stop shop for orthopedics that could rival Companies LikeJohnson Johnson or stryker at first many people including myself, were really excited about it i thought this was going to be a fantastic pairup however, from the very beginning of this combination, there were issues all under the leadership of the ceo. First the biomed deal was delayed. It was supposed to close in the First Quarter of 2016 but it wasnt consummated until that june i thought big deal, the story is intact and it remains a good one. It turns out i was being a little on the overoptimistic side after the two companies combined, the company stumbled in the First Quarter after the merger with the Revenue Growth lacking the rest of the implant market because it was a drag on sales by late last summer zimmer seemed to have gotten its act together thats why i recommended it as a comeback play. Since then the stock has essentially flattened. Badly lagging the better market. It looks like i spoke too soon oops my mistake i assumed zimmer would be able to execute something the company had trouble under the ceos leadership after billing the biomed deal as a Game Changing transaction zimmers management has filed to deliver. Its been two years since the deal closed and theyve only averaged about 1. 3 over the past ten quarters. Thats below the 4 figure theyve been targeting some of the problem had to do with where zimmer makes money. After the deal the company gets roughly 60 of the sales from hip and knee implants. Thats one of the slower growing segments in the space. Hips and knees have grown at about a 2. 5 annual clip zimmer had been doing worse than the broader hip and knee market. The company lost about 200 basis points of market share as they struggled to integrate the biomed business. This Company Wants to come anywhere near the stated 4 growth target at the least its going to need to take back the market share lost. Unfortunately competitors stryker came out with an excellent total knee application early this year. It might have taken more business from zimmer i dont want to make it sound like theyre exposed to the wrong end market at the wrong time when i recommended it, it looked like they were experiencing revenue acceleration then they got hit with Inventory Management issues and problems at their manufacturing facility in warsaw, indiana these are problems that go to the ceo. The weakness in hip and knee replacements means the rest of their business needed to take up the slack. Company Sports Medicine business, extremities and Trauma Division theyve done pretty well growing at a 7 clip the final business was flat. At this point some men suggested the Company Needs to restructure the product fort folio to get in shape. And make more acquisitions to bolster the growth rate. Given the inconsistent execution with the biomed deal, i have to wonder if the wisdom about making another acquisition when the Company Reported at the end of april zimmers sales and earnings came in a little better than expected, but then the guidance disappointed and they continued to be plagued with management stock stumbled 6 thats what you need to know to understand why the stock has been doing well since last week when the ceo announced hed be stepping down and resigning from the board. Zimmers current chief Financial Officer will take over as interim ceo until they find a new permanent chief executive. The results were not good with the earnings coming in near the bottom, and some production issues continue at the manufacturing plant. After initially dipping less than a percent on the news, zimmer stock has come roaring back because the ceo wasnt doing a great job. His resignation signals the company may be able to consider a shift and execute better on the tactics. In fact, the analysts community had nothing but positive things to say about the shakeup one said hold to buy in the hope with operational experience to overhaul the companys supply chain. We learned the big activist firm had taken a stake in zimmer. They may have forced him out that makes me think they could be ready to get back on the right track. I was cofounder of a company that was a company focussed on Rare Diseases in the early days. And we focussed and developed the standard of care for treating lupus patient we had an exciting drug but we only had a so remission rate. With this one layered, were getting a 50 remission rate fivetimes whats the curren standard of care its like day and night you have a page in your presentation which talks about, and it was daunting, recently completed Clinical Trials failed, failed, failed j top, sta failed stop. Whats so hard about this . I think probably to a large extent, some of the drugs probably have efficacy, but Clinical Trial design is important. To design your trial to optimize results.
